FuelCell Energy Announces Proposed Public Offering of Common Stock

FuelCell Energy, Inc. announced its intention to offer, subject to market and other conditions, shares of common stock in an underwritten public offering. The company also expects to grant the underwriters a 30-day option to purchase up to an additional 15% of the shares of common stock offered in the public offering to cover over-allotments, if any. The company intends to use the proceeds from this offering for product development, project financing, expansion of manufacturing capacity, and general corporate purposes. The offering is expected to price before 9:30 am EDT on Friday, June 25, 2010.

The company intends to offer and sell these securities pursuant to the company’s existing shelf registration statement filed with the Securities and Exchange Commission on January 23, 2007, which was declared effective on February 6, 2007. A prospectus supplement describing the terms of the offering will be filed with the Securities and Exchange Commission and will form a part of the effective registration statement.
