Siliconix Consults Advisors to Consider Vishay Proposal

In February 2001, Vishay Intertechnology Inc. (Malvern, PA) proposed to purchase any and all outstanding shares of Siliconix Inc. (Santa Clara, CA), of which it currently owns 80.4 percent. This month, Siliconix announced that a special committee, comprised of its board of directors, has engaged an investment banking firm, Lehman Brothers Inc., and a law firm, Heller Ehrman White and McAuliffe LLP, as independent advisors to assist the committee in considering the Vishay proposal.

Vishay's proposed purchase price is $28.82 per share, payable in cash. If the companies proceed with an agreement, they will file documentation with the SEC.
